1. Acceptance of Terms

By accessing and using KeyStory AI, you accept and agree to be bound by the terms and provisions of this agreement. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

KeyStory AI provides an AI-powered platform that transforms MLS listings into professional marketing case studies for real estate professionals. Our service includes:

  • Automated case study generation from MLS data
  • SEO-optimized content to help you win more listings
  • Customizable templates and widgets
  • Analytics and performance tracking
  • Integration with various real estate platforms
  • Additional features as described on our website

3. Account Registration

To use certain features of our service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

We reserve the right to refuse registration or cancel accounts at our discretion.

4. Use of Service and Acceptable Use

You agree to use KeyStory AI only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Upload false, misleading, or fraudulent MLS or transaction information
  • Generate case studies that misrepresent your actual results or experience
  • Infringe upon intellectual property rights
  • Use the service to create defamatory content about competitors or clients
  • Transmit any harmful or malicious code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Use the service to send spam or unsolicited messages
  • Share your account credentials with unauthorized users
  • Resell or redistribute the service without authorization

Professional Standards: You agree to use our case study generation services in accordance with real estate professional standards and industry best practices, ensuring all MLS data and generated content is accurate and truthful.

5. Payment Terms

5.1 Subscription Fees

Access to certain features requires a paid subscription. By subscribing, you agree to pay all fees associated with your selected plan. Subscription fees are non-refundable except as required by law.

5.2 Billing and Renewal

  • Subscription fees are billed in advance on a monthly or annual basis
  • Your subscription will automatically renew unless you cancel before the renewal date
  • We may change subscription fees with at least thirty (30) days' written notice
  • You must provide accurate billing information and update it promptly if it changes
  • Late fees of 1.5% per month (or maximum allowed by law) may apply to outstanding balances
  • All fees are exclusive of applicable taxes, which are your responsibility

5.3 Free Trial and Refunds

We may offer a free trial period, after which standard charges apply. Subscription fees are generally non-refundable except as required by law.

6. MLS Data and Case Study Generation

6.1 Data Accuracy and Rights

You represent and warrant that:

  • You have the right to use all MLS data and transaction information you provide
  • Your MLS and transaction information is accurate and truthful
  • You have necessary permissions to share client or property details
  • Your use of generated case studies complies with MLS rules and applicable privacy laws

6.2 AI-Generated Content

You acknowledge that our AI-generated case studies:

  • Are based on algorithmic analysis of your MLS data and may require human review
  • Should be verified for accuracy before publication or marketing use
  • May not capture all nuances of your specific transactions or market conditions
  • Are tools to assist, not replace, professional judgment and compliance requirements

6.3 Generated Content Rights

Case studies and content generated by our AI services based on your data remain your property. You may use, modify, and distribute these case studies for your real estate business purposes.

7. Intellectual Property

KeyStory AI and its original content, features, and functionality are owned by KeyStory AI, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Our service may contain links to third-party websites or services that are not owned or controlled by KeyStory AI. We assume no responsibility for the content, privacy policies, or practices of any third-party sites.

8. User Content and Data

You retain ownership of any MLS data, transaction information, and content you submit to our service ("Your Data"). By submitting Your Data, you grant KeyStory AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute Your Data solely to:

  • Generate case studies and marketing content for your use
  • Improve our AI models and services (in anonymized, aggregated form only)
  • Provide technical support and service improvements

Data Retention: We will retain Your Data as long as your account is active or as needed to provide services. Upon termination, we will make your data available for download for ninety (90) days, after which it may be permanently deleted.

9. Privacy

Your use of our service is governed by our Privacy Policy. Please review our Privacy Policy, which informs users of our data collection practices and is incorporated into these Terms by reference.

10. Service Availability and AI Limitations

While we strive for high availability, we do not guarantee uninterrupted service. Our services may be subject to maintenance, updates, or technical issues inherent in AI-powered platforms and internet-based services.

AI Service Disclaimers

We make no guarantees that:

  • Generated case studies will achieve specific marketing results or lead generation
  • AI-generated content will be perfect or require no editing
  • SEO optimization will guarantee improved search rankings
  • Services will meet your specific business requirements in all circumstances

11. Disclaimers

The information and services on our platform are provided on an "AS IS" and "AS AVAILABLE" basis. KeyStory AI makes no warranties, expressed or implied, and hereby disclaims all other warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property rights.

WE DO NOT WARRANT THAT:

  • Services will be uninterrupted or error-free
  • Generated case studies will achieve specific business results
  • AI-generated content will be perfect or require no editing
  • Our systems are completely secure from unauthorized access

12. Limitation of Liability

Liability Cap

Our total liability arising from this agreement will not exceed the fees you paid in the six (6) months immediately preceding the event giving rise to liability.

Excluded Damages

IN NO EVENT SHALL KEYSTORY AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, business opportunities, or goodwill
  • Damage to professional reputation
  • Loss of MLS data or generated content
  • Cost of substitute services or business interruption
  • Claims related to inaccurate case study content

This limitation applies regardless of the theory of liability and even if we were advised of the possibility of such damages.

13. Indemnification

You agree to defend, indemnify, and hold harmless KeyStory AI and its employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms or applicable laws
  • Content you upload or case studies you generate using our services
  • Claims that your use of services infringes third-party rights
  • Inaccurate or misleading information in your MLS or transaction data
  • Your violation of MLS rules or real estate regulations

14. Suspension and Termination

14.1 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

  • Breach of these Terms
  • Non-payment of fees
  • Violation of our Acceptable Use provisions
  • Fraudulent or illegal activity

14.2 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or contacting us.

14.3 Effect of Termination

Upon termination:

  • Your access to services will immediately cease
  • We will provide data export capabilities for ninety (90) days
  • All payment obligations for services already provided remain in effect
  • Provisions regarding intellectual property, indemnification, and liability limitations survive

15. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Wyoming, United States, without regard to conflict of law provisions. Any disputes will be resolved exclusively in the courts of Wyoming.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16. Force Majeure

Neither party will be liable for delays or non-performance due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, government actions, or technical failures not within our control.

17. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Continued use of the service after changes become effective constitutes acceptance of the revised Terms.

18. General Provisions

Assignment: You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

Severability: If any provision of these Terms is found unenforceable, the remainder will remain in full effect.

Entire Agreement: These Terms, including the Privacy Policy, constitute the entire agreement between the parties.
